Description

The Director, M&A Integration is responsible for overall planning and oversight of the due diligence and integration process for M&A at Cresa. The Director will establish and monitor adherence to project management structures, processes, and tools across the company. Working with cross-functional teams, and reporting directly to the CFO, the Director will ensure management standards are upheld and clearly defined throughout the M&A life cycle. When M&A deals are not underway, the Director will support the FP&A and business development activities.

Duties & Responsibilities

  • Capable project manager adept at managing complex deal processes from start to finish, coordinating resources, and adhering to deadlines
  • Effective communicator, skilled in interpersonal, negotiation, deal-making, relationship building, and collaboration with diverse stakeholders (internal and external)
  • Adaptable and resilient; able to manage multiple projects in tandem, adjust to feedback from multiple leaders and apply learnings from successes and setbacks real time
  • Create detailed financial models to assess the financial health of potential targets, evaluate deal structures, cash/stock, upfront/earnout mixes and forecast the financial impact of transactions when combined with Cresa current financial state and growth model assumptions
  • Capable of triangulating targets’ accounting practices into Cresa’s accounting standards and map their financial statements to Cresa’s financial statements
  • Analyze and apply market trends, assess competitive landscapes, and identify new growth opportunities to inform strategic decision-making via publicly available market information
  • Key facilitator and driver of the due diligence, integration planning, and integration execution process of strategic initiatives company
  • Identify and problem-solve to mitigate risks and issues relating to due diligence and integration
  • Develop program management best practice process and tools to facilitate risk assessment, change control process, due diligence and integration of all M&A.
  • Build post-deal integration plan including Day 1 go live and phased onboarding/offboarding of systems, tools and processes from M&A integration ensuring smooth integration of acquired businesses or partnerships into Cresa aligning systems, and realizing expected synergies
  • Partner closely with corporate teams, such as finance, legal, HR, and IT, to ensure timely and comprehensive execution against M&A work plans
  • Develop and maintain processes integration of sales and pipeline management systems and track progress of M&A and high value recruited producers against approved pro forma
  • Monitor and report on progress toward earnouts and performance incentives.
  • Prepare timely status reports, ensuring data accuracy and timely input from workstreams.
  • Post transaction own the tracking and monitoring or synergy realization and deal model lookback in partnership with business unit finance teams
  • Able to identify, communicate and evaluate shareholder value creation and drive informed decisions that ultimately increase the company's value and return for shareholders
  • Strategic thinker able to identify growth opportunities, analyze market trends, and align strategic initiatives with long-term company goals and evaluate short-term trade-offs and returns
  • Promote culture of integration and collaboration.
  • Ad hoc requests across Corporate Development, FP&A and office of the CFO

Qualifications

  • Exceptional at balancing competing priorities in tandem via demonstrated program management skill
  • Strong financial acumen with solid understanding of financial modeling, valuation, and M&A synergy identification and tracking
  • Highly analytical, proficient in due diligence and risk assessment

Experience & Education

  • Bachelor’s degree
  • 8+ years experience managing M&A process and deliverables
  • Expertise in Microsoft 365, specifically using Excel for financial modeling and PowerPoint for executive presentations, as well as program management tools
  • Understanding of the brokerage industry preferred / professional services experiences required
